The firm's investment management lawyers represent a broad range of clients in the dynamic investment sector, offering deep expertise in federal securities laws, including the Investment Company Act of 1940 and the Securities Exchange Act. With a team that includes former SEC officials and senior-level professionals, the firm provides comprehensive regulatory and transactional support. They specialize in areas such as derivatives, repurchase agreements, tax, ERISA, and securities enforcement, offering expert legal advice to investment funds, financial institutions, and public corporations.
ABOUT THE ROLE:
We are seeking a highly skilled Private Investment Funds Associate to join our Financial Regulations group in the New York office. The ideal candidate will have experience in structuring and forming private equity, venture capital, or hedge funds, with a strong understanding of regulatory compliance in the investment fund space. This is an exciting opportunity to work alongside a collaborative and highly respected team, advising clients on complex fund formation and regulatory issues.
RESPONSIBILITIES:
- Structuring and forming private equity funds, venture capital funds, and hedge funds, including drafting all necessary fund documents (e.g., partnership agreements, offering memoranda, and subscription documents).
- Negotiating with limited partners on behalf of fund sponsors to ensure successful fund closings and compliance with relevant laws.
- Reviewing and advising on subscription documents and related agreements.
- Representing private and institutional investors in their investments in private investment funds.
- Assisting in structuring general partner and management companies to ensure they meet regulatory requirements.
- Providing guidance on the legal implications of various transactions, ensuring that the funds are in compliance with key regulations.
- Maintaining a working knowledge of the Investment Company Act of 1940 and the Investment Advisers Act of 1940, and advising clients on how these laws affect their investment strategies.
REQUIREMENTS:
- A Juris Doctor (J.D.) degree from an accredited law school.
- At least 3 years of experience in private investment funds, focusing on fund formation, structuring, and regulatory compliance.
- Solid academic credentials and demonstrated experience advising clients on investment fund matters, particularly within private equity, venture capital, or hedge funds.
- Experience with negotiations involving limited partners and the drafting and review of key fund documents.
- Strong understanding of the Investment Company Act of 1940 and Investment Advisers Act of 1940, and experience advising clients on their implications in fund structuring.
- Exceptional analytical, drafting, and communication skills, with the ability to handle complex legal issues and provide practical solutions to clients.
- A client-focused attitude with a commitment to high-quality service and professional development.
- Licensed to practice law in NY
COMPENSATION/BENEFITS:
- Compensation: $260,000 - $390,000
