Our client’s Corporate group counsels corporations and corporate boards on a wide variety of governance and compliance issues. They provide advice and guidance to a wide range of entities in financial transactions. Their strengths include business formation, financing, labor and employment, tax, real property, estate planning, litigation, securities, merger and acquisition matters, and much more. ABOUT THE ROLE:

The firm’s Corporate Group is seeking a mid-level associate (4-6 years of experience) for their Century City office. This is an exciting opportunity to work with companies across various sectors such as technology, finance, entertainment, manufacturing, and much more. 

REQUIREMENTS:

• 4-6 years of corporate law experience 
• Experience with real estate joint ventures, including preferred equity joint ventures
• Experience with securities offerings related to joint ventures and other syndications
• Experience drafting LLC agreements, LP agreements, and other related documentation
• Experience with fund formation (real estate, as well as venture and/or private equity)
• Experience with M&A transactions, including with asset and equity purchase transactions
• Experience with others securities transactional and regulatory matters, including compliance with the Investment Company Act, the Investment Advisers Act, the Securities Act, and other regulatory requirements, is preferred but not required
• AmLaw 200 firm experience is preferred
• Excellent legal writing skills and academic credentials
• Active California Bar admission
• Detail-oriented and demonstrated ability to think critically and strategically
• Strong oral, written, and interpersonal communication skills
• Ability to work effectively in a team-oriented, fast-paced environment

COMPENSATION & BENEFITS:

• Compensation: $240,000 - $300,000
