Associate Attorney

Home of 200+ attorneys and serving clients from 6 different office locations across California and New York, we are searching for a mid-level attorney with a background in Corporate Services to focus on general corporate & private equity matters!

ABOUT THE ROLE:

We are seeking a Corporate Attorney with experience in corporate transactions, including private offerings, M&A, and joint ventures. The ideal candidate will have a background working with venture capital, private equity, and growth equity firms. This role involves advising on compliance matters related to the Investment Company Act, Investment Advisers Act, and Securities Act. While experience in fund formation is a plus, it is not required. This position offers the opportunity to work on sophisticated transactions in a collaborative and fast-paced environment.

REQUIREMENTS:

• 3–4 years of corporate law experience
• Strong background in corporate transactions, including private equity offerings, M&A, and joint ventures
• Experience in fund formation and representing venture capital, growth equity, or private equity firms
• Solid understanding of federal securities laws, including the Investment Company Act, Investment Advisers Act, and Securities Act (preferred but not required)
• Experience drafting LLC and LP agreements and related corporate documentation
• Strong legal writing, analytical, and communication skills
• Active California Bar admission required
• Detail-oriented, strategic thinker with the ability to work effectively in a fast-paced, team-oriented environment

COMPENSATION & BENEFITS:

• Compensation: $220,000 - $250,000
